1.     Instruction to Act

1.1.  Thank you for the opportunity to provide you with United States and/or New Zealand taxation services.

1.2.  We accept your request for service and enclose information which sets out our standard terms of engagement.

2.     Services to be Provided

2.1.  The nature of the services to be provided under this agreement shall be limited to one hour of tax consulting services necessary to respond to matters presented by you, or matters that NZ US Tax Specialists Limited brings to your attention for which you agree that NZ US Tax Specialists Ltd. should provide assistance.

2.2.  For purposes of clarification and without intending to be all-inclusive, the following illustrates the nature of the services intended to be covered by this agreement.

2.2.1. Tax Consultancy Services

We will provide tax advice, answers to questions and/or opinions on tax matters, including research (as needed prior to consult and/or in follow-up), discussions, memoranda and attendance at meetings relating to these matters as requested by you. It should be noted that all review by us of all information supplied by you, whether by way of phone calls written correspondence including email, and whether in advance of or pursuant to consultations will be billed accordingly.

2.2.2. Oral advice

From time to time we will give oral advice in meetings and over the telephone. While we will always strive to provide accurate advice, it must be recognized that oral advice is not our considered view.

3.     Fees and Payment

3.1.  You have booked and agreed to a fee of NZD$598.00 (including GST if in New Zealand) to cover a 30 minute phone call and 30 minutes worth of written tax advice.

3.2.  Should your phone call and/or written advice services go over your allotted time, you will be charged NZD$299.00 (including GST if in New Zealand) per half hour.

3.3.  Payment for services is expected immediately following the completion of the consultation.

4.     Limitation of Liability

4.1.  The total aggregate liability of NZ US Tax Specialists Ltd to you for loss or damage (including indirect and consequential loss or damage) caused by, or resulting from, or in relation to the services, including whether arising from breach of contract, negligence, or any other tort, and whether or not NZ US Tax Specialists Ltd was advised of the possibility of such loss or damage, is limited to the fees paid by you to NZ US Tax Specialists Ltd in respect of the services.

5.     Survival

5.1.  The provisions of this letter survive the expiration or earlier termination of this agreement.

6.     Validity

6.1.  This agreement supersedes all prior discussions and agreements that you may have had with NZ US Tax Specialists Ltd.

7.     General

7.1.  This Engagement Letter along with the Standard Terms of Engagement, which can be found here and incorporated herein by reference, will constitute the entire agreement between NZ US Tax Specialists’ and you.

7.2.  We reserve the right to cancel or postpone your consultation all questions and supporting information are not received 48 hours prior to your scheduled consultation.

7.3.  If the information and accompanying information is acceptable please sign this agreement letter where indicated below, initial every page and return the whole signed agreement letter to it to us.
